TERMS OF SERVICE

These Terms of Service (“Terms”) govern your access to and use of the websites, applications, and services provided by Grayboe, LLC (“Grayboe,” “we,” “us,” or “our”), including without limitation grayboe.com and any Grayboe applications, tools, or services (collectively, the “Service”).

By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

 

 

1. Scope of These Terms

These Terms apply to:

  1. Grayboe.com Website Services — including browsing, purchasing, and messaging programs (such as 10DLC).

  2. Grayboe Applications (“App Services”) — including products or features that may allow users to authenticate using phone number login (e.g., Firebase Authentication) and submit content such as text or images.

Your use of the Service is also subject to our Privacy Policy.

 

 

2. Eligibility

You must be at least 13 years old to use the Service. If you are under the age of majority in your jurisdiction, you represent that you have permission from a parent or legal guardian to use the Service.

 

 

3. Accounts and Authentication (App Services)

Some features of the Service require an account.

For App Services, we may use Firebase Authentication or similar services to verify users. Authentication may require your phone number. You agree to provide accurate information and to keep your account secure.

You are responsible for all activity that occurs under your account.

 

 

4. Messaging Programs (10DLC)

If you provide your phone number to receive messages through our messaging programs, you consent to receive messages as described at the point of opt-in. You can opt out by texting STOP to the number associated with the program. You may text HELP for assistance.

Messaging frequency may vary. Message and data rates may apply.

 

 

5. User Content (Text and Images)

Certain App Services may allow you to submit or upload content, including text and images (“User Content”).

You retain ownership of your User Content, but you grant Grayboe a license to use it as described below.

 

 

6. License You Grant to Grayboe

By submitting User Content through the Service, you grant Grayboe a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to:

  • host, store, reproduce, process, analyze, and display your User Content,

  • create derivative works or modifications as necessary to operate the Service, and

  • use your User Content for model training and product improvement as described in Section 7.

This license is granted for the purpose of operating, maintaining, improving, and developing the Service and related technologies.

 

 

7. Machine Learning / Model Training (No Opt-Out)

Important: If you submit text or images through the App Services, you acknowledge and agree that Grayboe may use submitted User Content and related usage data to train, improve, test, and develop machine learning models.

This may include:

  • extracting patterns from submitted content,

  • improving output quality and feature performance, and

  • developing new capabilities derived from aggregated learnings.

Grayboe is not required to compensate you for these uses.

 

 

8. Data Storage and Logged-Out Use (App Services)

If you use App Services without logging in, we generally do not store your submitted content beyond what is necessary to provide the session, maintain security, and support performance.

If you are logged into an account, we may store User Content and associate it with your account as described in our Privacy Policy.

 

 

9. Do Not Submit Sensitive Information

You agree not to submit sensitive or regulated information through the Service, including but not limited to:

  • Social Security numbers or government IDs

  • financial account or payment card information

  • medical or health information

  • passwords, private keys, or confidential credentials

  • any other highly sensitive personal information

Grayboe is not responsible for sensitive information you choose to submit.

 

 

10. Prohibited Conduct

You agree not to use the Service to:

  • violate any law or regulation

  • submit content you do not have rights to use or share

  • upload unlawful, harmful, abusive, defamatory, or exploitative content

  • interfere with, disrupt, or attempt to compromise the Service

  • attempt unauthorized access to accounts, systems, or data

  • reverse engineer, copy, or misuse the Service except as allowed by law

We may suspend or terminate access for violations.

 

 

11. Intellectual Property

The Service, including software, design, and functionality, is owned by Grayboe or its licensors and protected by intellectual property laws.

These Terms grant you a limited, non-exclusive, non-transferable right to access and use the Service for lawful purposes, subject to these Terms.

 

 

12. Third-Party Services

The Service may rely on third-party tools or providers (such as Firebase Authentication). Grayboe is not responsible for third-party services outside of our control. Your use of third-party services may be governed by their own terms and policies.

 

 

13. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRAYBOE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee that the Service will be uninterrupted, error-free, accurate, or secure.

 

 

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, GRAYBOE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

IN NO EVENT WILL GRAYBOE’S TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID GRAYBOE (IF ANY) IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

 

 

15. Indemnification

You agree to defend, indemnify, and hold harmless Grayboe, its officers, directors, employees, and affiliates from any claims, damages, liabilities, losses, or expenses (including attorney fees) arising out of:

  • your use of the Service,

  • your User Content,

  • your violation of these Terms, or

  • your violation of any applicable law or third-party rights.

 

 

16. Termination

We may suspend or terminate your access to the Service at any time if:

  • you violate these Terms,

  • we reasonably believe you pose a risk to the Service or others,

  • or for security, operational, or legal reasons.

You may stop using the Service at any time.

 

 

17. Changes to These Terms

We may update these Terms from time to time. Updates will be posted with a revised “Last Updated” date. Continued use of the Service means you accept the updated Terms.

 

 

18. Governing Law

These Terms are governed by the laws of the State of Arizona, without regard to conflict of law principles.
